Please read these Terms of Service carefully before using Commercial Notes Online.
By accessing or using the Commercial Notes Online platform (the "Platform", "Service", "we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, our Disclaimer, and our Refund Policy, all of which are incorporated by reference. If you do not agree, you must not use the Platform.
Electronic Signature (E-SIGN / UETA): You consent to receive records, contracts, and disclosures from us electronically (including by email, in-app, or by clicking "I agree" or similar buttons), and you agree that your electronic signature and click-acceptance are legally binding under the federal Electronic Signatures in Global and National Commerce Act (E-SIGN) and the Uniform Electronic Transactions Act (UETA) as adopted by your state. You may withdraw this consent only by closing your account.
We may modify these Terms at any time. Material changes will be communicated by updating the "Last Updated" date and, where appropriate, by email or in-app notice. Continued use after the effective date constitutes acceptance.
Seller/Owners list their own properties on the Platform and are solely responsible for those listings and any communications with buyer/investors. Buyer/Investors contract directly with seller/owners. By using the Platform you acknowledge and agree that all real-estate transactions occur directly between buyer/investor and seller/owner, that you are responsible for your own due diligence, and that you are strongly encouraged to retain your own licensed attorney, title company, and — if you wish to be represented — a licensed real-estate broker before entering into any transaction.
Any fee paid to an affiliate, referral partner, agent/broker partner, or lender partner is a referral fee for introducing a user to the Platform — not compensation for any brokerage, lending, advisory, or origination service. Partners remain solely responsible for their own licensing, supervision, and any disclosures required to their client or broker of record.
* Buyer/investor services, verified accounts, free browsing, pre-qualification, applications, and matching to trust acquisitions, owner-financed, and lease-to-own commercial properties
* Seller/Owner services, verified accounts, paid listing marketing packages, self-serve listing capability
* Buyer/Investor introductions, subscription access to pre-qualified buyer/investors who have consented to be matched with seller/owners
* Affiliate program, referral-fee compensation for qualified buyer/investor or seller/owner introductions (not commercial real-estate commission), and referral-fee compensation for for quality trust acquisitions, owner-financing contracts, mortgage assumptions, and lease-to-own commercial property contracted listings entered by attached affiliate accounts that sell.
We are NOT a commercial real-estate broker, agent, salesperson, lender, mortgage loan originator (MLO/RMLO), mortgage broker, escrow agent, title company, appraiser, Consumer Reporting Agency, or data broker. See our Disclaimer and Privacy Policy Section 4a for full details. All trust acquisitions, owner-financing transactions, mortgage assumptions or lease-to-own commercial property contracts occur directly between buyer/investors and seller/owners.
* You must be at least 18 years old and have legal capacity to contract

Access to staff accounts is at-will and may be revoked at any time without notice.
We may suspend or terminate any account at any time for violation of these Terms, suspected fraud or abuse, legal request, or any other lawful reason. You may close your account through your settings; certain data may be retained as described in our Privacy Policy.
* You consent to our sharing your buyer/investor profile (name, contact, location preferences, budget, down payment range, move-in timing, prequalification summary) with seller/owners and their representatives, including seller/owners using our Buyer/Investor Connection service, as described in our Privacy Policy. We are not a data broker (see Privacy Policy Section ); introductions are made on the basis of your direct consent to be matched
* You must provide accurate, complete, and current information and keep it current
* You give express written consent to receive phone calls (including autodialed, prerecorded, and AI-dialer calls), SMS/MMS messages (including marketing and autoresponder messages), and emails from us and from matched seller/owners, as described in Section 6 of our Privacy Policy

* Wholesalers and agent/brokers must accurately complete the verification fields required by the post listing form flow
If you list a commercial property using our post listing flow, your use is governed by the separate Platform Posting Agreement presented and accepted as part of the post listing wizard. The Platform Posting Agreement includes additional acknowledgments regarding revision-gating, aerial/drone photography (FAA Part 107 and state surveillance laws), and platform conduct, and incorporates the same arbitration and class-action waiver set forth in Section of these Terms.
This section applies if you are a verified seller/owner with an active listing on the Platform and you choose to unlock contact information for a buyer/investor who is a system match or an applicant on your listing. We do not sell buyer/investor lists, bulk lead files, or untargeted contact databases to any third party, and we do not act as a "data broker" as that term is defined in the California Delete Act, Texas Business & Commerce Code Chapter 509, Oregon HB 2052, Vermont 9 V.S.A. § 2446, Connecticut SB 1356, or comparable laws. See Privacy Policy.
Unlocks are available only to (a) the verified seller/owner or authorized representative of the listed commercial property, (b) where the buyer/investor has affirmatively consented to be matched with and connected with seller/owners of trust acqusitions, owner-financed commercial properties, assumable mortgages, are matching their stated preferences, and (c) for the limited purpose of communicating with that buyer/investor about your specific listed commercial property.
Upon payment (or use of an in-app credit), we grant you a non-exclusive, non-transferable, non-sublicensable, revocable limited license to use the unlocked buyer/investor contact information solely to connect with them yourself and your listed commercial property to that buyer/investor in connection with a potential trust acquisition, owner-financed, assumed mortgage or lease-to-own sale. No other use is permitted.
You shall not:
* Resell, redistribute, share, license, lease, syndicate, or transfer unlocked contact information to any third party
* Aggregate unlocked contacts into a list, CRM segment, or audience that you market to outside the scope of the specific property for which the unlock was purchased
* Scrape, harvest, or bulk-export buyer/investor data from the Platform
* Use unlocked contact information to train, fine-tune, evaluate, or benchmark any artificial-intelligence or machine-learning model
* Use unlocked contact information for any purpose permitted by the Fair Credit Reporting Act (credit, employment, insurance, tenancy, etc.); buyer/investor profile information is not a consumer report
* Use unlocked contact information to send communications in violation of the Telephone Consumer Protection Act (TCPA), CAN-SPAM, A2P 10DLC carrier rules, state mini-TCPA laws, or Do-Not-Call rules
* Continue contacting a buyer/investor who has revoked consent, opted out, replied STOP, or whose status changes to do-not-contact
* Misrepresent the source of the introduction or your relationship to Commercial Notes Online
You acknowledge that you, not Commercial Notes Online, are the sender, caller, and data controller for any outreach you perform after an unlock. You are solely responsible for honoring opt-outs, maintaining your own STOP/HELP/DNC processes, registering for A2P 10DLC where required, and complying with all applicable advertising, fair-housing, and consumer-protection laws. You will indemnify us in full for any TCPA, CAN-SPAM, state-law, fair-housing, or carrier-rule claim arising from your outreach.
Unlocks are delivered instantly and are non-refundable as set forth in our Refund Policy. We may, at our sole discretion, issue a one-time replacement credit (not a refund) where a buyer/investor's contact information is demonstrably invalid (for example, the unlocked phone is provably disconnected at the time of unlock or the buyer was already marked do-not-contact in our system prior to unlock).
We may revoke or suspend your access to the Buyer/Investor Connection service at any time, with or without notice, for any suspected violation of this Section, the Platform Posting Agreement, our Privacy Policy, or applicable law.

You and Commercial Notes Online agree that any dispute, claim, or controversy arising out of or relating to (a) these Terms, the Privacy Policy, the Disclaimer, the Refund Policy, the Platform Posting Agreement, or any other agreement with us, (b) your use of the Platform, (c) any service, package, or data you purchase, or (d) any communication with us or another user (each a "Dispute") shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules (or, where applicable, its Consumer Arbitration Rules), as modified by this section.
You and we each waive any right to a jury trial and any right to participate in a class action, collective action, mass arbitration, or representative action. Disputes must be brought in your individual capacity only. The arbitrator may not consolidate claims of multiple persons or preside over any form of representative or class proceeding. If this class-action waiver is found unenforceable as to a particular claim, that claim shall be severed and proceed in court while all other claims continue in arbitration.
* Seat of arbitration: New Hampshire, with hearings conducted by videoconference unless the arbitrator orders otherwise
* Language: English
Governing arbitration law: The Federal Arbitration Act (FAA), 9 U.S.C. §§ 1 et seq., governs the interpretation and enforcement of this section
Substantive law: New Hampshire law (without regard to its conflict-of-laws rules), except where federal law preempts
Either party may bring an individual action in small-claims court for any Dispute that qualifies, so long as the action remains in small-claims court on an individual basis.
Either party may seek injunctive or equitable relief in court to protect intellectual-property rights, prevent unauthorized access, or stop a breach of the no-scraping/no-AI-training/license-restriction provisions.
You may opt out of this arbitration agreement by emailing legal@commercialnotes.online within 30 days of first accepting these Terms (or, for existing users, within 30 days of the "Last Updated" date of this version), with the subject line "Arbitration Opt-Out" and including your full name and the email address on your account. Opting out does not affect any other part of these Terms.
AAA filing, administrative, and arbitrator fees will be allocated per the applicable AAA rules. The arbitrator may award reasonable attorneys' fees and costs as permitted by law or agreement.
These Terms are governed by the laws of the State of New Hampshire, without regard to conflict-of-laws principles, except where federal law applies. For any Dispute not subject to arbitration (small claims or injunctive relief), the exclusive venue is the state or federal courts located in New Hampshire, and you and we consent to personal jurisdiction there.
If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including acts of God, natural disasters, pandemics, wars, civil unrest, government actions, labor disputes, internet or telecommunications failures, cyberattacks, or third-party service outages.
We may suspend or terminate your access at any time for any reason, including violation of these Terms. You may terminate by closing your account. Sections that by their nature should survive termination, including Buyer/Investor Connection restrictions, License to Us, IP / no-AI-training, Prohibited Uses, Privacy, Disclaimers, Liability Cap, Indemnification, Arbitration, and Governing Law, will survive. Data retention after termination is described in our Privacy Policy.
We may give you notices by email to the address on your account, by SMS to the phone number on your account, or by in-app message; such notices are effective when sent. You must send legal notices to us at legal@commercialnotes.online.
These Terms, together with the Privacy Policy, Disclaimer, Refund Policy, Platform Posting Agreement (where applicable), and any package-specific engagement agreement, constitute the entire agreement between you and Commercial Notes Online regarding the Platform and supersede all prior agreements on the subject. You may not assign or transfer your rights without our written consent; we may assign these Terms in connection with a merger, acquisition, financing, or sale of assets.
Spanish-language versions of these Terms and our other legal pages are provided for convenience only. In the event of any conflict or ambiguity between the English version and any translation, the English version controls.
